Acceptable Use Policy

This Acceptable Use Policy ("AUP") forms part of your Agreement with OUI Technologies (SMC-Private) Limited ("OUI") and governs how you may use the Service. Breach of this AUP is a material breach of the Agreement.

1. Authorisation

You will use the Service only where you are professionally qualified or authorised to do so, and in compliance with all laws and the policies of any Institution you act for.

2. Patient Data — the core rule

2.1 De-identified only. You must input only de-identified data into the cloud Service and must not include direct patient identifiers (e.g. name, MRN/medical record number, national ID, contact details) in audio, report text, report labels, templates, or instructions. Encrypting a report or label on your device does not authorise identifiers.

2.2 Identifiable use requires signed paperwork. Identifiable Patient Data may be processed only where OUI has expressly authorised it in a signed written agreement — (a) an Identifiable Use Addendum between OUI and you as an independent professional, documenting your authority and lawful basis; or (b) an MSA/DPA with an Identifiable Processing Schedule between OUI and the controlling Institution — and only within the product and scope that agreement names (currently the RadTranscribe batch product only). No in-product attestation, checkbox, or setting authorises identifiable use.

2.3 You are responsible for the lawfulness of all Content you input, for any required patient consent, and for compliance with your Institution's data-governance rules.

2.4 Technical gating. Identifiable use may be technically disabled until the required signed agreement is in place, and OUI may suspend identifiable processing where the required documents, authority, or safeguards are absent.

3. Fair usage

Individual Plans of the Service are priced and provisioned for an individual clinician's own professional dictation workload. To keep it reliable and fairly allocated for everyone:

3.1 Quotas apply. Your use is subject to the limits of your account, plan, or Order (for example monthly dictation minutes or request counts, per-client device limits, and rate limits). OUI may set, change, or remove quotas and limits at any time at its discretion (Terms §5), including to protect service integrity, prevent abuse or account sharing, or reflect your plan.

3.2 Individual use. Even where a plan has no stated cap or is described as "unlimited", usage must remain consistent with genuine individual clinical documentation. Usage patterns materially exceeding what one clinician would generate, and any automated, scripted, bulk, or machine-driven submission, are outside fair usage — except where a product is designed and licensed for that mode of use (for example RadTranscribe or another batch, multi-patient, or departmental product used within the scope of its Plan or Order).

3.3 No resale or shared operation. Do not resell, sublicense, rent, or provide the Service (or transcription produced with it) as a service to third parties, and do not operate one account for multiple clinicians, without a written agreement with OUI.

3.4 Device limits. Your account limits how many devices of each type (extension, mobile, desktop) may be active; OUI may sign out or deactivate devices over the limit, and may treat patterns consistent with credential sharing (e.g. concurrent use from unrelated locations or devices) as a breach of this AUP.

3.5 Graduated enforcement. Where usage exceeds fair usage, OUI may — at its discretion and in addition to clause 7 — throttle, queue, or temporarily limit usage before or instead of suspending the account.

4. Prohibited uses

You must not:

  • use the Service for any unlawful, harmful, or fraudulent purpose;
  • input data you have no lawful right to process, or breach any third party's privacy or IP;
  • attempt to reverse-engineer, decompile, scrape, or extract the software or models, except as permitted by law;
  • circumvent or attempt to defeat security, access controls, usage limits, rate limits, device limits, or authentication;
  • share, sell, or transfer your account or credentials;
  • upload malware, impose an unreasonable load on the Service, or interfere with its integrity or availability;
  • use the Service to develop, train, or benchmark a competing product or model;
  • use Output as an authoritative clinical record without the review required by the Clinical Use & Safety Disclaimer;
  • misrepresent the Service's regulatory status (e.g. as a medical device or as "HIPAA compliant").

5. Your Content

You are responsible for your Content and for keeping your own records as required by your profession and Institution. The Service is not a system of record; maintain authoritative records in your hospital/clinic information system.

6. Clinical validation duty

You must independently review and verify all Output before any clinical use, in line with the Clinical Use & Safety Disclaimer.

7. Consequences of breach

For breach or suspected breach of this AUP, OUI may — with or without notice, at its discretion (Terms §15) — warn you, throttle or limit your account (including reducing quotas, disabling features, disabling identifiable use, or deactivating devices), suspend or terminate access, and pursue any other remedy (including indemnity under the Terms). OUI may investigate suspected violations and preserve or disclose information where required by law. No refund or credit is due for periods of limitation or suspension arising from your breach.
